1. Acceptance of Terms

By downloading, installing, accessing, or using the LinguaAI mobile application ("App") or visiting our website ("Site"), you agree to be legally bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App or Site. These Terms constitute a legally binding agreement between you and LinguaAI ("we," "us," or "our").

We reserve the right to update these Terms at any time. Continued use of the App or Site after changes are posted constitutes your acceptance of the revised Terms. We will indicate the date of the most recent update at the top of this page.

2. Description of Service

LinguaAI is a mobile language learning application that provides AI-powered Spanish language instruction through real-time voice conversations, structured lessons, vocabulary exercises, and personalized feedback. The App is powered by third-party artificial intelligence services including ElevenLabs for voice conversation functionality.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

3. User Accounts

To access certain features of LinguaAI, you must create an account. Account registration and authentication are managed through Clerk, a third-party identity provider. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You must be at least 13 years of age to create an account. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscription & Payments

Access to premium features of LinguaAI requires a paid subscription. Subscription plans, pricing, and available features are described within the App and on our Site. All prices are listed in US dollars unless otherwise stated.

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) and automatically renew at the end of each billing period until cancelled. You authorize us and our payment processors to charge the payment method on file for each renewal period.

You may cancel your subscription at any time through your account settings within the App. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date. We do not provide refunds for partial subscription periods except as required by applicable law or the refund policy of the applicable app store (Apple App Store or Google Play Store).

Payment processing is handled by third-party payment processors. We do not store your full payment card details. By providing payment information, you agree to the terms of the applicable payment processor.

The App, Site, and all content, features, and functionality — including but not limited to text, graphics, logos, lesson content, software, and audio — are owned by LinguaAI or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial language learning purposes. This license does not include the right to copy, modify, distribute, sell, sublicense, or create derivative works from any part of the App or its content without our prior written consent.

8. Termination

We reserve the right to suspend or terminate your account and access to the App at our sole discretion, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if required to do so by law. Upon termination, your right to use the App ceases immediately.

You may terminate your account at any time by requesting account deletion through the App settings or through the account deletion form on our Site. Termination does not entitle you to a refund of any prepaid subscription fees.

9. Disclaimer of Warranties

THE APP AND SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no warranty that the App will meet your specific learning goals or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINGUAAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP OR SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation between the parties. If such negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless prohibited by law in your jurisdiction.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the App's features, or applicable law. When we make material changes, we will update the "Last Updated" date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the App after any changes constitutes your acceptance of the revised Terms.
